Meeting Overview:
The frenzy of IPO and buyouts prevalent in the late 90�s
is gone. IPO�s are coming back, but they are sparse. The business
models of firms going public has also changed with execution
and performance being valued and not the just the excitement
of the opportunity and the flash of the moment. Acquisitions
still remain the dominant way for a company to continue on its
accelerating growth path and preparing and positioning your
company at the outset to be acquired is both a sensible and
well-regarded business model attractive to investors. Additionally
the start-up and management team is tied to the deal and they
need to prepare personally and financially for this as well.
Our speakers will talk about End Games and Exit Strategies emphasizing
the preparation, structuring, and negotiations and how to make
the best possible deal.

Elliot Katzman,

Kodiak Venture Partners is a Waltham, Massachusetts-based
venture capital firm focused on seed and early stage
investments in emerging communications/IT, semiconductor
and software companies. Kodiak�s investment partners
are successful high-technology business entrepreneurs
who take a high-impact, hands-on approach to forming,
operating, building and funding market leaders. Founded
in 1999, Kodiak manages three funds totaling $676 million.
Elliot Katzman serves on the boards of Chaoticom, Mindreef,
Pragmatech and Watchfire. Katzman has been a senior
executive in some of New England�s most successful software
companies. Prior to joining Kodiak, he founded and led
Myteam.com, a direct marketing/web services company
that merged with The Active Network. Earlier, he was
at SolidWorks, where as Senior Vice President and CFO,
he led the company�s merger with Dassault Systemes.
As CFO of Atria Software, he led an IPO and a $1 billion
merger with Pure Software, the largest software merger
of its time. Prior to Atria, Katzman served as CFO of
Epoch Systems, where he had senior operational responsibilities
and managed the company�s merger with EMC. He was also
an executive with Prime Computer during its significant
growth phase in the mid-1980s.

equity finance and fund formation, public offerings,
mergers and acquisitions and technology licensing. He
is a graduate of Boston University School of Law and
received his Bachelor of Arts degree from Connecticut
College. While in law school, he served as an editor
of the Boston University Science and Technology Law
Journal. He is also a member of the Boston Bar Association
and Massachusetts Bar Association.

Donald Tomkinson,
President, CEO, Chairman of the Board, Framework

is financed by some of the nation's premier venture
investors, including Charles River Ventures, Bessemer

Donald brings more than 23 years of executive leadership
and operational expertise to Framework Technologies,
having held key corporate positions in sales, marketing
and operations throughout his career. He founded Sage
Ventures, which invests in early stage companies and
provides business consulting. He was general manager
for Aspect Development, Inc. (now i2 Technologies) Supplier
Relationship Management (SRM) business unit and an Aspect
corporate officer helping drive annual sales from $20M
to $200M and the field team was scaled 600 percent.
Prior to i2 Technologies, Donald was director of worldwide
service at ACTERNA (formerly TTC); director of consulting
and product manager at Computervision; and development
manager, applications engineer and manufacturing engineer
at Texas Instruments. Donald graduated Tau Beta Pi from
the University of Rhode Island, where he received a
BS in industrial engineering. He earned his MBA, with
highest distinction, from the University of Maine at
Orono.
