Surviving Overlooked Legal Issues, the first meeting of 2003 for the Entrepreneurs' Network, features a panel of three (3) attorneys with extensive experience in the legal and business issues faced by high technology companies and their founders. The panel has provided counsel for the wide variety of practical situations which all entrepreneurs face. Whether it involves incorporation and choice of entity decisions, employment matters, promises of equity participation in the early stages, adequate protection and licensing of intellectual property, or day-to-day issues like sales and collection matters, these panelists will share the benefits of their experience.

The objective of this meeting is to a forum for the discussion of the critical legal issues facing the founders, investors, and managers of technology companies. The presentation will be followed by a question and answer (Q&A) session moderated by Bill Byrnes. During the Q&A session you will be invited to present your own legal questions and seek guidance from the panel. While not intended as a substitute for securing your own legal counsel, previous attendees have found this to be a particularly valuable forum for seeking initial understanding of the issues that confront their companies. Victor B. Lebovici, Esq.
Victor's activities span the practice of intellectual property law. He represents individuals and companies of all sizes before the U.S. Patent and Trademark Office in patent and trademark matters, primarily in the fields of networking, computer systems, electronic devices and systems, computer software, mechanical and electro-mechanical devices, and has assisted his clients in developing and managing worldwide patent and trademark portfolios. He has negotiated numerous technology licensing and development agreements. He has supported the due diligence activities of his clients in mergers, acquisitions and public offerings as intellectual property counsel. He has performed IP audits to assess intellectual property assets and is frequently called upon to provide counsel and render opinions regarding issues of infringement and validity of patents. He has participated in high profile patent litigations and arbitrations during his tenure with the firm. Prior to joining the firm, he worked as an electrical engineer designing complex electronic equipment and software systems.

Victor received his undergraduate degree in Electrical Engineering and his Master of Electrical Engineering degree from Cornell University. He received an MBA from Northeastern University and his JD from Suffolk University.

Sarah C. Richmond, Esq.
Sarah is a partner at Lucash, Gesmer & Updegrove, a Boston law firm focused on the technology sector. She specializes in general corporate law, which includes venture capital and angel financings as well as M&A work, in addition to day-to-day business matters such as company formation, structuring shareholder arrangements and equity compensation. Her intellectual property practice includes negotiating software licensing arrangements and overseeing the federal trademark registration process. Before joining LGU, she was associated with Hale and Dorr in Boston, prior to which she practiced law with Tomotsune, Kimura & Mitomi, a Japanese international finance law firm in Tokyo.

Sarah received her undergraduate degree in mathematics from Columbia University and her law degree from Harvard Law School.

Robert A. Adelson, Esq.
Rob practices in a business-law firm located in Boston's downtown financial district, providing legal services to individuals and businesses representing owners of small- and medium-size businesses in both professional and personal matters. His practice area includes issues of Executive stock, Compensation, Employment, Taxation, and Corporate Law.

Rob received his undergraduate degree from Boston University, his law degree from Northwestern University, and his LLM in Taxation from New York University.

William R. Byrnes, Esq.
Bill is an attorney with more than thirty (30) years of experience in the information, software, and communications technology business. His practice is focused on providing technology companies with efficient and cost effective temporary General Counsel and interim In-House Counsel services on a virtual basis. Additionally, he is the founder of Byrnes & Associates, a network of professionals providing a full range of business services to entrepreneurs and early stage companies.

Bill received his undergraduate degree in English Literature and Creative Writing from Boston University, a JD from Suffolk University Law School, and a LLM degree in Taxation from Boston University Law School. He is also a board member of the IEEE Entrepreneurs' Network and a member of the Infrastructure Committee of the Cape Cod Technology Council
