Understanding Term Sheets and Valuations

Meeting Overview

This meeting will be an instructional meeting where expert attorneys, bankers and investors describe the basics of term sheets, the important specifics to be included in every term sheet and the pitfalls to avoid. The panel will describe the methodologies used to value companies and describe how to achieve the most favorable valuations for your company. Closing out the discussion will be a question and answer session.

Dan Allred, Silicon Valley Bank

Dan Allred is a Senior Relationship Manager with Silicon Valley Bank. In this role, Dan manages SVB’s early-stage efforts in New England, including banking and lending to early-stage venture-backed start-ups. Dan also works closely with SVB’s emerging technologies banking practice in New England which is comprised of hundreds of pre-funded technology start-ups.

Prior to moving to Boston in May 2007, Dan led SVB’s business development efforts in Research Triangle, NC, where he tripled that office’s profitability and earning assets between mid-2003 and mid-2007. Dan joined SVB as an associate in the Research Triangle office in September 2002.

Dan was Vice President of the Council for Entrepreneurial Development (CED) in Research Triangle Park, NC prior to joining SVB.

Dan currently serves on the Board of Directors of the SVB Foundation, which makes grants to various organizations in the communities that SVB serves. He is also Board member and Treasurer for The Capital Network, a resource for New England entrepreneurs seeking early-stage financing. Dan also serves on the Young Leadership Committee for the Museum of Science in Boston, MA.

Dan is a graduate of the University of North Carolina at Chapel Hill, where he was a Johnston Scholar and Phi Beta Kappa.

Paul Sweeney, Partner, Foley Hoag LLP

Paul serves as outside general counsel to a variety of emerging growth companies operating in a wide array of industries, including interactive media, computer security, information technology, enterprise software, and life sciences. His work for these companies covers all aspects of their legal needs, including corporate formation, angel and venture capital financing, intellectual property issues, executive compensation and mergers and acquisitions. Paul has helped his clients raise hundreds of millions of dollars in angel and venture capital, and has advised clients through several dozen acquisitions in the aggregate amount of over $2.8 billion.

Paul has been recognized as a “Massachusetts Super Lawyer” in the area of corporate law by Boston Magazine in 2009 and 2010, and was previously named a “Rising Star” in that publication for three consecutive years. Paul is a graduate of Boston College Law School, J.D., magna cum laude and Saint Anselm College, B.A., cum laude.

Joseph Sabatini, President of the Innovation Network, LLC.

The Innovation Network is a consulting group that specializes in assisting new and emerging companies in formation, strategy, commercialization, capital acquisition and cost management. Prior to founding the Innovation Network, he was a Partner and Director in Arthur D. Little’s Technology and Innovation Management Practice, where he specialized in technology valuation and technology development management. He was also the Vice President of Operations of TurboChef Technologies, a leading developer of commercial appliance technology, recently sold to Middleby Corporation. He was instrumental in licensing the company’s products to Maytag Corporation. Earlier in his career, he was consultant to clients in the advanced materials, energy and chemicals sectors. He began his career in the aerospace and defense industry.

He is the Vice Chairman for Programs of ENET. He is a member of the Board of Advisors of ReSurfX, Reliable Laundry Products and Gulf Data Services (Dubai). In his spare time he is founding Specialty Recycling, focusing on recovery of valuable, rare metals from the automotive industry and is seeking investors. He holds a BS in Engineering from Columbia University and an MS in Materials Engineering from Northeastern University.
